Affiliate Program Terms & Conditions

1. Agreement to Terms

By joining the Ezotrade Affiliate Program, you agree to these Terms and Conditions. Ezotrade Ltd reserves the right to update these terms at any time. Continued participation implies acceptance of any modifications.

2. Program Overview

Approved affiliates earn commission by referring customers to Ezotrade's recycled building material products.

• Commission Rate: Tiered structure (5%, 7.5%, or 10% based on performance)
• Cookie Duration: 30 days from first click
• Minimum Payout: £50.00 GBP
• Payment Method: UK bank transfer only
• Payment Terms: Commissions approved 14 days post-delivery

3. Eligibility Requirements

To join, you must:

• Be at least 18 years old
• Own a UK bank account
• Operate a legitimate site, blog, or social media presence
• Comply with UK laws, GDPR, ASA guidelines

Ezotrade may reject applications or remove affiliates at its sole discretion.

4. Prohibited Marketing Practices

The following are strictly forbidden:

• Spam, misleading advertising, fake accounts, bots
• Bidding on "Ezotrade" or similar terms in paid search
• Trademark misuse in domains, usernames, or channels
• Cookie stuffing, affiliate fraud, impersonation, greenwashing
• False claims about products, sustainability, or partnerships

Violations result in immediate termination and commission forfeiture.

5. Commission Logic & Payment

• Commission is calculated on subtotal (excl. VAT/shipping)
• Valid only on paid, completed orders
• Pending period: 14 days after order delivery
• Approved commissions are eligible for payout (min. £50)
• Payouts are processed within 7 business days via UK bank transfer

6. Use of Ezotrade Images, Logos & Branding

• Affiliates may only use official banners/logos from the Ezotrade Affiliate Media Kit
• No alterations, derivatives, or impersonation allowed
• Use in printed/offline material, email or SMS requires written approval
• Affiliates may not design or distribute their own branded material

All Ezotrade branding is the exclusive intellectual property of Ezotrade Ltd.

7. Tracking & Attribution

• Referral links include unique affiliate IDs
• Attribution is based on last-click model within a 30-day cookie window
• Ezotrade is not liable for lost commissions due to browser settings, blockers, or user behavior

8. Termination Policy

Ezotrade may suspend or terminate accounts for:

• Violations of these Terms
• Fraud or tracking manipulation
• Misuse of branding or misleading claims
• Inactivity (12+ months)

Affiliates may terminate participation at any time by emailing affiliate@ezotrade.co.uk. Valid commissions will be paid within 30 days of termination.

9. Data Protection & Privacy

• Affiliates must comply with UK GDPR, PECR, and any platform-specific policies
• No personal data may be collected via Ezotrade systems without consent
• Any breach of privacy obligations may result in immediate removal

10. Intellectual Property & Licensing

• All logos, product content, and marketing materials remain property of Ezotrade Ltd
• No sublicensing, redistribution, or unauthorized commercial use allowed
• License to use affiliate content is revocable, non-transferable, and limited to affiliate use only

11. Legal Liability & Indemnity

• Ezotrade is not liable for indirect or consequential damages
• Commission liability is capped at 12-month average of earnings
• Affiliates agree to indemnify Ezotrade against legal claims arising from misuse, misrepresentation, or non-compliant promotion

12. Tax Responsibility

Affiliates are responsible for reporting and paying applicable income taxes. Ezotrade does not provide tax guidance or withhold tax.

13. Jurisdiction

This agreement is governed by the laws of England and Wales. Any disputes shall be subject to UK courts.

14. Tiered Commission Structure

Ezotrade operates a performance-based commission model to reward high-performing affiliates. Commissions are assigned based on the total value of completed, non-refunded orders (excluding VAT and shipping) referred by an affiliate during a given calendar month.

• All new affiliates begin in Tier 1 (Bronze)
• Tiers are automatically recalculated on the 1st of each calendar month based on the affiliate's net referred sales from the prior month
• Commissions are only valid on fully delivered, paid orders not refunded or canceled
• Affiliates who drop below a tier threshold will be downgraded for the following month
• Tier 2 (Silver) is reached at £8,000+ in monthly referred sales and offers a 1.5× multiplier on base commission rates
• Ezotrade reserves the right to modify the tier logic or temporarily suspend upgrades in cases of abuse, fraud, or system misuse

15. API Access

Affiliates may not access Ezotrade data feeds or backend unless granted access under a separate API agreement.

16. Non-Circumvention

Affiliates may not approach Ezotrade suppliers, wholesalers, or partners for direct commercial benefit based on knowledge gained from the program.

17. Sustainability Messaging Policy

All affiliate content must be truthful regarding environmental claims. False "green" advertising will result in account termination.

18. Force Majeure

Ezotrade is not liable for delays or failures resulting from unforeseen events (natural disasters, legal changes, pandemics, etc.).

19. Commission & Tax Treatment

Affiliate commissions are inclusive of VAT, where applicable. Ezotrade does not add VAT on top of affiliate payouts. Each affiliate is solely responsible for their own tax reporting, invoicing (if required), and VAT compliance in accordance with UK law.

Note: VAT-registered affiliates may account for VAT under self-billing or reverse charge schemes, depending on their business structure and applicable HMRC guidance. Ezotrade does not provide tax advice.
